Terms & Conditions

These terms govern use of the Waimakers Academy platform. Where Waimakers has a separate signed agreement with your organisation, that agreement prevails over these terms to the extent of any conflict.

These Terms & Conditions ("Terms") govern your access to and use of the Waimakers Academy learning platform (the "Platform") provided by WAIMAKERS B.V. ("Waimakers", "we", "us"). By creating an account or using the Platform you agree to these Terms.

1. Definitions

  • "Platform", the Waimakers Academy learning application and its content.
  • "Customer", the organisation that subscribes to the Platform for its people; "User" or "learner", an individual who uses the Platform.
  • "Content", the courses, modules, videos, assessments and other materials made available on the Platform.
  • "User Content", the submissions, uploads and other material a User provides.

2. Accounts and eligibility

You must provide accurate account information and keep your credentials confidential. You are responsible for activity under your account. Where your account is created by a Customer (your organisation), your use is also subject to that Customer's own rules and its agreement with us. The Platform is intended for use by adults in a professional context.

3. Subscriptions, seats and payment

Access to paid features is provided on a subscription or seat basis. Fees, seat counts, billing periods and any applicable taxes (such as Dutch VAT) are shown at the point of purchase and on your invoices. Payments are processed by our payment provider, Stripe. Unless stated otherwise, fees are non-refundable except as required by law, and changes to seats may be billed on a pro-rata basis. We may suspend access where fees are overdue.

4. Acceptable use

You agree not to:

  • use the Platform unlawfully or in breach of these Terms;
  • share your account or access credentials, or exceed your licensed number of seats;
  • copy, resell, or redistribute the Content except as expressly permitted;
  • attempt to disrupt, reverse engineer, or gain unauthorised access to the Platform; or
  • upload unlawful, infringing or harmful material.

5. Intellectual property

The Platform and its Content are owned by Waimakers or its licensors and are protected by intellectual property laws. Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable right to access and use the Platform and Content for your own learning. Certificates issued by the Platform recognise completion and may be verified by us.

6. Your content

You retain ownership of your User Content. You grant us the right to host and process it as needed to operate the Platform, including sending assignment submissions to our AI provider for grading and feedback as described in the Privacy Policy. You are responsible for ensuring you have the right to submit any material you upload.

7. AI features

The Platform includes AI-assisted grading and an AI coach. AI output is generated automatically, may be inaccurate or incomplete, and is provided to support learning only. It is not professional, legal, financial or other expert advice, and you should exercise your own judgement before relying on it.

8. Availability and disclaimer

We aim to keep the Platform available and reliable, but it is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties and do not guarantee that the Platform will be uninterrupted, error-free, or fit for a particular purpose.

9. Limitation of liability

To the extent permitted by law, Waimakers is not liable for indirect or consequential loss, loss of data, or loss of profits, and our total liability arising out of or in connection with the Platform is limited to the fees paid for the Platform in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Suspension and termination

We may suspend or terminate access where you materially breach these Terms, where required by law, or where a Customer's subscription ends. You may stop using the Platform at any time. On termination, your right to access the Platform ends; we handle personal data as described in the Privacy Policy.

11. Data protection

Our handling of personal data is described in our Privacy Policy. Where Waimakers processes personal data on behalf of a Customer, it does so under a data processing agreement with that Customer.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and, where changes are significant, provide a more prominent notice. Continued use of the Platform after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Netherlands. Disputes will be submitted to the competent court in Amsterdam, without prejudice to any mandatory consumer protections that may apply to individual users.
